Could be.... but I have a laptop and I'm using the built in AC97 controller. It's an Analog Devices chipset from Andrea Electronics. It works well for what I need.
Up till today I couldnt even go in StandBy mode beacause of the touchscreen driver. So I went to the egalax page and got the newer 4.0 version drivers... and now that works okay.
I'm gonna try to do what you guys suggested....

thats a good step by step trouble shooting for your problem.. if that all fails.. i dunno..

how about GPS device? will it be the device that blocking you from shutting down?

It's likely to be something that FP has started up, but can't close.
Have you tried minimizing FP and then trying Start --> Shutdown?
