1) There are many P4/Celeron chipsets by different manufacturers (SIS, Intel, VIA, etc.). Be more specific.
2) If your board uses DDR2, then you most likely need DDR2. I don't believe they're backward-compatible.
3) Did you think about looking in the manual for that Dell server to see what RAM it will work with?

it has ddr2 slots. Only ddr2 will work

I am wondering if ddr2 pc3200 at 400 mhz is the same speed as normal ddr pc3200 at 400mhz. I mean... if they are both 3200 at 400 mhz, which is faster?

Is there any point in getting a ddr2 board without getting some ddr2 4300 ram?

I currently have 512 of ddr pc 3200 and it has smoked every online game I have played since early '03. I want to be ready for the next wave of online games.

(i should add that it smoked along with a radeon card)
