Legally, that's correct. Real life, you could transfer the OEM license and then upgrade. It comes down to what does your conscious tell you to do?

I guess my feeling was this, at one time the machines had legal oem 98 up to w2k software on them, so at that point if I could save a few bucks I might be able to use the upgrade. However, it sounds like all i need to use the upgrade disk is to have a original 98 thru w2k disk to shove in during install so it "knows" i am ok. I can do that

    Thanks for the advice all!

or you could just do an annual subscription to the Microsoft Action Partner Standard for $299 per year:

    http://members.microsoft.com/partner...ionpackus.aspx

You get media for all and 10 licences of XP Pro, several of the Windows Servers, Mappoint, 10 licences of Office, SQL server, Project, Visio, etc. they also update you every quarter with the latest and greatest from microsoft.

I use to do the pirate way, but this is the much more legit way and to avoid all the "complications" of pirating.

The licence says something to the the tune of "up to 2 CPUs", but I'm pretty sure you cant install it to 2 single CPU machines

No, you can only install it on one computer. But your computer can have up to 2 CPU's. You can also buy a 4 CPU version. If you have more than 2 CPU's on your PC/Server you XP Pro will detect it and NOT INSTALL.

XP COA 54.00 shipped, XP Pro COA 89.00 shipped. Comes with License Sticker, and the MS booklet telling you you just gave them your money for a real product.
These were the prices last time I ordered. These COAs are no longer posted on the site.
Call them. Legit Licenses, not pirated or bootleg, not pulled from used equipment.
I use them all the time.
