Hey, problem solved. It required re-installing winXP. Have no idea why, but back to running normal.
Hey guys have been reading for a while, but can't see anyone solution to this problem.
I have a M2-ATX and the D945GCLF2 motherboard. The systems powers up fine but fails to shutdown.
Now it is not hanging up, but the power button doesn't seem to initiate the shut down procedure. I have in selected in control panel>power to shut down when the button is pressed.
This is true whether the signal comes from the J8 jumper or I manual press the button connected to the MB power switch.
In the bios I have tried using the S1 and S3 setting and no difference.
The power button will turn the unit on, and if held down will hard shut down the computer it just won't initiate the setting in WinXP to start the shut down procedure.
Anyone with ideas would be greatly appreciated.

Hey dude i am getting this problem too.
i am running windows Vista SP1.
But seriously it can't be an operating system problem.
Mine is Set on Jumper Mode 2.
I press the Power button "OFF" and it shutdown.
Then 2 seconds after she shuts down she turns back on again and boots back into windows..
I thought there was an issue with the cable i ran through the car so i made another quick temporary one in my boot and that also is having the same problem.
So i found and read this post. Formatted about 30mins ago and i am still having the same problem after a format.
Anyone got any solutions?
