Why a celeron? At 65 watts of consumption, a full blown core duo would be the better choice I'd think... unless you're basing it solely off cost, which it doesn't really appear that way.

Also what to have gps which would you recommend.

You're gonna need quite the power supply to power all this. Maybe use a 300w dc to dc psu or something?
ok so my second option was the
all in one with the daul core atom
1 gig of memory (or would you suggest 2gig)
i want to store all my mp3's and my movies and play dvds and have gps,and hd radio.
The D945GCLF2? Good choice. I have used this board in a few installs now with awesome results. Seems there's some odd incompatibility with it and the M2-ATX though. I've read of a lot of problems pairing those 2 together. However my D945GCLF2 and M2-ATX play together fine.

Oh, and DDR2 is so cheap these days, give it a shot with 2gb. If hibernation seems too slow, drop back to a gig. If you get the 2 gig, you can limit the amount of ram windows uses, so you wouldn't have to buy anymore ram. You can just limit it to 1gb, 1.2, 1.5, whatever you want.
