what windows os to use?
i might be able to get access to any o/s through my brother's job. i plan on using it for winamp, dvds, small games, possibly gps and engine monitoring.
which one will give me the fastest boot time w/o spending money on additional software/hardware etc? kinda over my budget.

Considering the hardware you have and the fact you want a quick boot time, I would recomend Win 98Lite.

That does seem the best answer, or one of the Unix flavors...
You will need to buy 98 lite though

In Case you are still unsure, I would go with the above suggestion of 98 Lite (a snip at $25) or use the free version. I am using 98 lite with a similar hardware setup to yours (as you can see below) and I have a great bootup time of about 20 seconds.

Ok, I will ask a different question, I am running ME Lite and I am pretty happy with it. Is there any advantage to change to 2000 or XP?

If your set up is stable and does what you want it to, then no.
If it is not stable and you don't mind having a cold boot time of 30 to 45 sec, I would recomend XP Pro...

XP also offers Suspend to RAM (STR) that may allow faster boot times but power could be an issue. Search around that has been hashed out before.
